SHRREHOLDERS RESOLUTION

Singer (Thailand) Plc announced resolution made at the 30th ordinary shareholders meeting on Oct 31, 1997 as follows: 1. To add memorundum of association Clause 3: company's aim from 24 to 25 and amend clause 16 2. To amend clause 17 as follows: "Clause 17: The successor of director who is out of the post before retiring is allowed to attain the post until remaining tenure of predecessor ends." 3. To pay dividend at Bt6 per share on Nov 30, 1997 with closing date on Oct 13, 1997. 4. To approve issuance of debentures or other instruments worth not over Bt900 m carrying 3-year marturity maximum. Another details were to be determined later by the board. 5. To reappoint following directors; Mr Banyong Lamsam, Mr Watana Trikantha, Mr. James C.M. Yuan and Mr. James Henry Ting. 6. To assing Mr Suchart Luangsuraswasdi Certified Public Accountant No 2807 and/or Mrs Nathaporn Phan-udom CPA No 3430 and/or Mrs Unakorn Pruktithada CPA No 3257, from Pricewater House, as its auditor(s) and set fee at not over Bt458,000.
