(Translation) No. 021/2001 April 10, 2001 Re: Inform of Resolutions Adopted of the 34th AGM of Shareholder To: President The Stock Exchange of Thailand The resolutions of the meeting of shareholder adopted at 34th Annual General Meeting on April 10, 2001 are as follows: 1. Approval of the minutes of 33rd AGM of Shareholders held on April 26, 2000 2. Approval of the Annual Report 2000 the Board of Directors dated December 31, 2000 3. Approval of the Balance Sheet and the Profit and Loss Account of the Company for the fiscal year ending December 31, 2000 4. Approval of the payment of final dividend for fiscal year ended December 31, 2000 will be Baht 1.90 per share, payable on May 10, 2001 to the shareholders of record on March 21, 2001 For the physical year 2000 the company had the dividend payment at 58.69% of the net profit which was not over 60% of the net profit in accordance with the Bank and the Financial institution requirement that the company has reported to SET and disclosed to Board of Directors Meeting No.132 on December 3, 2000. 5. Approval of Consideration of the Remuneration of the Company Directors is as follows:- The Remuneration of the Company Directors Chairman Bht. 25,000 each Quarter/person Director Bht. 18,750 each Quarter/person Audit Committee Bht. 18,750 each Quarter/person 6. Approval of the appointment of M.L. Usni Pramoj and Mr. Yonyyut Boonpektrakul to be re- elected in the same position for another term. Also approved the appointment of Mr. Pliu Mangkornkanok as the Director and Audit Committee Member to replace Mr. Chatchai Thiamtong in this term 7.
