Singer Thailand Public Company Limited Notes to the Interim Consolidated and Company Financial Statements (Unaudited) For the three-month periods ended 31 March 2001 and 2000 1 Accounting Policies The interim consolidated and company financial statements are prepared in accordance with the accounting principles generally accepted in Thailand, and are presented in the condensed format as required by Thai Accounting Standard No. 41, "Interim Financial Reporting" with additional disclosures, in case of the primary financial statements (i.e. balance sheets, statements of income, changes in shareholders' equity, retained earnings and cash flows), based on the format prescribed by the Ministerial Regulation No. 7 (B.E. 2539) in accordance with the requirements of the Securities and Exchange Commission and the Stock Exchange of Thailand. The accounting policies used in the preparation of the interim financial statements are consistent with those used in the annual financial statements for the year ended 31 December 2000. Costs that are incurred unevenly during the financial year are recognised as expense or deferred in the interim report only if it would be also appropriate to recognise or defer such costs at the end of the financial year. Income tax expense is recognised based on the best estimate of the weighted average annual income tax rate expected for the full financial year. The estimated average annual tax rate used is 30%. These interim financial statements should be read in conjunction with the 2000 annual financial statements. 2 Segment Information The Company trades in a single business segment and in a single geographical area i.e., Thailand. Accordingly no segment information has been presented. 3 Earnings Per Share Basic earnings per share is calculated by dividing the net profit (loss) attributable to shareholders by the weighted average number of ordinary shares in issue during the period (31 March 2001 : 27,000,000 shares; 31 March 2000 : 27,000,000 shares). As at 31 March 2001, the Company has already made allowance for doubtful accounts up to 85% of employees receivable (31 December 2000 : 85%). The loan bears interest at 8% per annum (31 December 2000: 8% per annum). The loan is due within 1 year. - Syndicated loans from financial institutions in Thailand for which Thai Farmer Bank Public Company Limited acted as the lead manager and Bangkok Bank Public Company Limited acted as the facility agent for the Company amounting to Baht 400 million. The Company received the loan of Baht 200 million in May and Baht 200 million is August 2000. The loans bear interest at MLR per annum. The loans and interest are due for redemption every month commencing September 2000 until May 2003. Unsecured debentures comprise the following: - As at 31 March 2001, the Company has three-year unsecured debentures totalling Baht 900,000,000 comprising 900,000 debentures of Baht 1,000 each bearing interest at the rate of 7.75% per annum. The debentures were approved by the Securities and Exchange Commission in February 2000 and are due for redemption every three-month periods until the last redemption on 10 February 2003.
