Dividend Policy and Payments
Singer Thailand Public Company Limited has a dividend policy of paying dividends of not less than 50% of the consolidated net profit after income tax, legal reserves, and other reserves for each fiscal year.
The payment of dividends is subject to economic conditions, operating results, future investment plans, and other relevant factors. The Board of Directors reserves the right to waive or revise this dividend policy from time to time as deemed appropriate.
Dividend Policy of Subsidiaries
The Company has a policy to pay dividends to shareholders at a rate of not less than 50% of the Company's net profit as reported in the separate financial statements, after deducting taxes and all statutory and other reserves required by law and the Company's Articles of Association for each fiscal year. Dividend payments will be made only if the Company has no accumulated losses in shareholders' equity as shown in its separate financial statements.
However, the Company may declare dividends at a rate different from the policy above, depending on its operating results, financial position, cash flow, working capital requirements, investment and business expansion plans, debt obligations, conditions and restrictions under loan agreements, and other factors relevant to the Company's operations and management.
