REPORTS ON MOTIONS PASSED AT SHAREHOLDERS' GENERAL ME

Singer Thailand Plc (SINGER) reported on motions passed at shareholders' general meeting no.29, held on October 25, 1996 as follows: 1. Certify the minutes of shareholders' annual general meeting no.28, held on October 27, 1995 2. Certify the board of directors' 1996 annual report on the company's previous year operation 3. Approve the balance sheet, profit and loss statements for the account period ending June 30, 1996 4. Approve as proposed by the directors to issue unconvertible debentures. The proceeds gained from the issuance will be used to repay for long-term loan of which term will end in 1997 and as the company's working capital. The details of unconvertible debentures are as follows: Debenture type : Name specified, unconvertible debentures Debenture value : Not over Bt900 million either in foreign currency or Baht Maturity : Not over 3 years Offering method : Offering to general public and/or local institutional investors. The offering can be made for the entire or some number of debentures. Debenture trustee : Have or do not have The details of each offering such as offering price per unit, par value, interest rate, currency, offering period, allotment will be under the SET's rules and consideration of directors or executive board of directors or authorized persons. They are eligible to correct or amend the details to comply with the market conditions. 5. Approve to pay the final dividend at Bt9.70 per share to shareholders whose names are in the registration book as of October 7, 1996, at noon. Payment date was set on November 25, 1996. The dividend was from the account period ending June 30, 1996. 6. Re-elect Boontak Wangjareon, Clara Loh, Potipong Lamsam, Maitree Motchdara and Sopon Polwilai, the retire-on-term directors, to possess in their positions for another term 7. Appoint Pakorn Penpakkul, Nopporn Thumraksa, and Suchat Leungsurasawad, a CPA # 2624, 2889 and 2807 respectively as the company's account auditor and set the remuneration worth not over Bt448,000 per annum. Those account auditors are from Price Waterhouses Bureau.
