AUDITOR'S REPORT To the Shareholders of Singer Thailand Public Company Limited I have audited the accompanying consolidated and company balance sheets of Singer Thailand Public Company Limited as at 31 December 2000, the related consolidated and company statements of income, changes in shareholders equity, retained earnings and cash flows for the year then ended. These financial statements are the responsibility of the Companys management. My responsibility is to express an opinion on these financial statements based on my audit. The consolidated and company financial statements of Singer Thailand Public Company Limited for the year ended 31 December 1999, presented herewith for comparative purpose, were audited by another auditor from the same firm as myself whose report dated 11 February 2000 expressed an unqualified opinion on those statements. I conducted my audit in accordance with generally accepted auditing standards. Those standards require that I plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates made by management, as well as evaluating the overall financial statement presentation. I believe that my audit provides a reasonable basis for my opinion. In my opinion, the consolidated and company financial statements referred to above present fairly, in all material respects, the consolidated and company financial position of Singer Thailand Public Company Limited as at 31 December 2000, and the consolidated and company results of operations and cash flows for the year then ended in conformity with generally accepted accounting principles. Singer Thailand Public Company Limited Notes to the Consolidated and Company Financial Statements For the years ended 31 December 2000 and 1999 1 General Information Singer Thailand Public Company Limited (the Company) is a public limited company, incorporated and domiciled in Thailand. The address of its registered office is as follows: 321 Siphaya Road, Siphaya, Bangrak, Bangkok. The Company is listed on the Stock Exchange of Thailand. The Company operates trading of sewing machines and electrical appliances. A listing and operation of the Companys subsidiaries is set out in Note 24 e). As at 31 December 2000, the Company and its subsidiaries employed approximately 7,587 people and 97 people, respectively. 2 Significant Accounting Policies The principal accounting policies adopted in the preparation of these consolidated and company financial statements are set out below: 2.1 Basis of Preparation The consolidated and company financial statements are prepared in accordance with and comply with generally accepted accounting principles in Thailand. The consolidated and company financial statements are prepared under the historical cost convention as modified by the revaluation of certain property, plant and equipment. 2.2 Consolidation Subsidiary undertakings, which are those companies in which the Group, directly or indirectly, has an interest of more than one half of the voting rights or otherwise has power to exercise control over the financial and operating policies, have been consolidated. Subsidiaries are consolidated from the date on which effective control is transferred to the Group and are no longer consolidated from the date of disposal. All intercompany transactions, balances and unrealised surpluses and deficits on transactions between group companies have been eliminated. Where necessary, accounting policies for subsidiaries have been changed to ensure consistency with the policies adopted by the Group. 2.3 Investments in Subsidiaries Investments in subsidiaries undertakings are accounted for in the company financial statements by the equity method of accounting. These are undertakings over which the Company has over 50% of the voting rights, and over which the Company exercises control. Provisions are recorded for impairment in value, if any. Equity accounting involves recognising in the income statement the Companys share of the subsidiaries profit or loss for the year. In case a subsidiary incurs a loss in excess of investment, the Company will reduce the investment cost until it reaches zero. In case the Company is held responsible for subsidiarys obligations, the negative investment in the subsidiary is recorded as liability. Singer Thailand Public Company Limited Notes to the Consolidated and Company Financial Statements For the years ended 31 December 2000 and 1999 2.4 Related Companies Companies are considered to be related if one company has the ability to control or exercise significant influence over the other company in making financial and operating decisions, or if most of the shareholders or executive management of both companies are the same persons. 2.5 Foreign Currency Translation Foreign currency transactions in the Group are accounted for at the exchange rates prevailing at the date of the transactions. Monetary assets and liabilities denominated in foreign currencies at the balance sheet date are translated into Baht at the rates ruling at that date. Gains and losses resulting from the settlement of such transactions and from the translation of monetary assets and liabilities denominated in foreign currencies, are recognised in the income statement. When the Group hedges foreign currency transactions by forward foreign exchange contracts, assets and liabilities are translated at the rates specified in such forward contracts. 2.6 Installment Accounts Receivable In accordance with trade practice, installment accounts receivable are classified as current assets regardless of when payments are due. This receivable is effectively secured by the products sold. The Company makes an allowance for doubtful accounts to cover the estimated losses that may be incurred in the collection of the debts. Bad debts are written off during the year in which they are identified. 2.7 Troubled Debt Restructuring Where the Group is the creditor. In case that the debt restructuring involves modification of terms of receivables, the fair value of investment in receivables after restructuring is based on the net present value of the expected future cash flows, discounted by the Minimum Lending Rates (MLR) prevailing at the restructuring date. Losses arising from restructuring, less recorded allowance for doubtful accounts, are recognised in the statement of income when incurred. Legal fees and other direct costs incurred to effect the debt restructuring are included in expense when incurred. Fair value of units trust is calculated by reference to the Net Asset Value at the close of business on the balance sheet date published by mutual fund management company as the fund manager. Increases/decreases in the carrying amount are credited/charged against unrealised gains/losses on investment in available-for-sale securities in shareholders equity. Investment in debt securities which are classified as held-to-maturity securities are carried at amortised cost. Investment in non-marketable equity securities which are classified as general investments are carried at cost. A test for impairment is carried out when there is a factor indicating that such investment might be impaired. If the carrying value of the investment is less than its recoverable amount, impairment loss is charged to the statement of income, if any. On disposal of an investment, the difference between the net disposal proceeds and the carrying amount is charged or credited to the statement of income. When disposing of part of the Groups holding of a particular investment in debt or equity securities, the carrying amount of the disposed part is determined from the weighted average carrying amount of the total holding of the investments. 2.9 Inventories Inventories are stated at the lower of cost or net realisable value. Cost is determined by the first-in, first-out method. The cost of purchase comprises both the purchase price and costs directly attributable to the acquisition of the inventory, such as import duties and transportation charge, less all attributable discounts, allowances or rebates. Net realisable value is the estimate of the selling price in the ordinary course of business, less selling expenses. Provision is made, where necessary, for obsolete, slow-moving and defective inventories.
