Resolved that the report of Management was approved and the audited financial statements for fiscal year ended 31st December 2005 was acknowledged for submission to the shareholders meeting for approval by the shareholders. 2. That the date for closing the Company's share register for the right to attend the Ordinary General Meeting of Shareholders will be on April 5, 2006 at 12.00 p.m. until the adjournment of the Ordinary General Meeting of Shareholders. 3. Resolved to call the Annual General Meeting of Shareholders No.39th to be held on Wednesday, April 26, 2006 at 10.00 a.m. at Grand Ballroom III, Grand Hyatt Erawan Hotel Bangkok , 494 Rajadamri Road, Pathumwan, Bangkok, Thailand, with the following agenda:- 1st Agenda Approval of the Minutes of the Extraordinary General Meeting of Shareholders No. 1/2006, held on March 17, 2006. 2nd Agenda Consideration of the Board of Directors'Report of the Company's operations of the previous year. 3rd Agenda Approval of Balance Sheet and the Profit and Loss Account of the Company and the Auditor's Report for the fiscal year ended December 31, 2005. 4th Agenda Approval of suspension of payment of final dividend to the shareholders and acknowledgement of payment of interim dividend. 5th Agenda Consideration of election of directors to replace the directors who retired by rotation and election of new director. 6th Agenda Consideration of the Remuneration of the Company Directors and Audit Committee members for the year 2006. 7th Agenda Appointment of auditors of the Company for 2006 and fixing their remuneration. 8th Agenda Other business (if any).
