The resolution of the Board of Directors adopted
at 165th Board of directors meeting on February 27,2007
are as follows:-
1. Resolved that the report of Management was
approved and the audited financial statements for fiscal
year ended 31st December 2006 was acknowledged for
submission to the shareholders meeting for approval
by the shareholders.
2. That the date for closing the Company's share
register for the right to attend the Ordinary General meeting
of Shareholders will be on April 4, 2007 at 12.00 p.m.
until the adjournment of the Ordinary General Meeting of
Shareholders.
3. Resolved to call the Annual General Meeting of
Shareholders No.40th to be held on Wednesday, April 25, 2007
at 10.00 a.m. at CAT Telecom Tower, 30th Floor, 72 CAT
Telecom Tower , Charoen Krung Road, Bangrak, Bangkok,
Thailand, with the following addenda:-
1st Agenda Approval of the Minutes of the Thirty-Ninth
(39th) Annual General Meeting of Shareholders, held on
Wednesday, April 26, 2006.
2nd Agenda Consideration of the Board of Director's Report
of the Company's operations of the previous year.
3rd Agenda Approval of Balance Sheet and the Profit
and Loss Account of the Company and the Auditor's Report for
the fiscal year ended December 31,2006
4th Agenda Approval of suspension of dividend payment
to the shareholders of the company's performance for
the year 2006
5th Agenda Consideration of election of directors to
replace the directors who retired by rotation and
appointment of new director.
6th Agenda Consideration of the Remuneration of the
Company Directors and Audit Committee members for
the year 2007.
7th Agenda Appointment of auditors of the Company
for 2007 and fixing their remuneration.
8th Agenda Other business (if any).
